A B2B sale runs on a small set of documents: an NDA before discovery, an MSA and order form at close, and often a security addendum or data processing agreement the customer’s procurement team adds late. Partner deals add a reseller or referral agreement. goHeather works on these documents in both directions. It drafts your own paper from the templates legal approved, and it reviews the customer’s paper or their redline of yours. In a review, each clause is quoted from the contract with a plain-English summary of how it is worded.
Master services and subscription agreements
The MSA carries most of the risk in a deal, and it is the document customers redline the most. goHeather pulls out the clauses that tend to move between rounds.
- Limitation of liability. What the cap is tied to, and which obligations the agreement places outside it.
- Indemnities. Who indemnifies whom, and for which kinds of claims.

- Governing law and venue. Which state the agreement names, such as Delaware, California or Texas.
Order forms and quotes
The order form is where the commercial terms live. goHeather drafts it from your template and the deal details, and when a customer marks one up, it lists what changed.
- Term and renewal. The initial term, whether it renews automatically, and the notice window the form sets.
- Fees and price increases. How fees are stated and what the form says about increases at renewal.
- Payment terms. The payment period and invoicing schedule.
- Order of precedence. How the form says conflicts with the MSA are resolved.
NDAs
Prospects often send their own NDA before a first technical call. goHeather reads it in a couple of minutes so the meeting doesn’t slip.

- Term. How long the obligations last after the agreement ends.
