What it covers

Contracts a procurement team handles, and what goHeather covers in them

The clauses goHeather drafts and surfaces in vendor and supplier agreements

Procurement contract management usually means a system of record for every vendor relationship. goHeather works on the documents themselves. It drafts your purchase terms from your templates, reviews the vendor’s paper against your playbook, and shows what changed between versions. In a review, each clause below is quoted from your contract with a plain-English summary of what it says and how it is drafted. What you accept is a decision for you and your lawyer.

SaaS subscriptions and order forms

A software subscription is often a short order form that points to online terms, a service level policy and a data addendum. goHeather reads the documents you upload and reports what they say.

  • Renewal. Whether the subscription renews automatically, for how long, and the notice window for stopping it.
  • Fee increases. Whether the vendor can raise fees at renewal, and whether the agreement sets a limit or a notice period.
  • Changes to the terms. Whether the vendor can amend the agreement by updating a web page, and how you would be told.
  • Service levels. What uptime is stated, and what the agreement says you receive if it is missed.

MSAs and statements of work

A master services agreement sets the general terms, and each statement of work adds the scope and price. goHeather reads them together so you can see how they interact.

  • Order of precedence. Which document controls if the MSA and a SOW conflict.
  • Acceptance. How deliverables are accepted or rejected, and what happens if you say nothing.
  • Change orders. How scope changes are requested, priced and approved.
  • Liability and indemnity. What the cap is tied to, which obligations sit outside it, and how widely each indemnity is drafted.

Purchase agreements and PO terms

For goods, you may send your own purchase order terms or sign the supplier’s terms of sale. goHeather drafts the first and reviews the second. There is more on this on our purchase agreement review page, and on the contract AI for manufacturers page.

  • Payment terms. The payment period, late payment interest and any early payment discount.
  • Delivery, title and risk. The delivery point, the shipping term used, and when title and risk pass.
  • Warranty and remedies. How long the warranty runs and what the supplier says it will do about defective goods.
  • Which terms apply. Whether the agreement says the buyer’s or the seller’s standard terms govern the order.

DPAs, security addenda and NDAs

These documents decide what a vendor can do with your information. goHeather pulls out the wording so you can check it against your security team’s requirements.

  • Data use. Whether the vendor may use your data beyond providing the service, for example to improve its own products.
  • Subprocessors. Whether they are listed, and how you are told about new ones.
  • Breach notice. How quickly the vendor says it will tell you about a security incident.
  • Return and deletion. What happens to your data when the agreement ends.
  • NDA scope. What counts as confidential, how long the obligation lasts, and whether it runs both ways.

How goHeather fits your contract process

Purchasing teams sign more vendor agreements than legal has time to read, so the small ones wait in a queue or go out unchecked. goHeather covers each stage. Draft your purchase terms from your own template, or upload the vendor’s paper and get a review against your playbook. Send back a redline in Word with track changes, compare the version the vendor returns, then collect e-signatures and store the signed copy. The contracts that need a lawyer are the ones that reach one.

goHeather is a contracts AI, not a law firm. It tells you what your agreement says and what to look at. It does not tell you what to accept. You can see how the review works on our AI contract review page, how drafting works on the AI contract generator page, or book a demo to go through one of your own vendor agreements with us.
