A software deal is rarely one document. There is a master agreement, an order form, a data processing addendum and often a security schedule, and a term in one can change the effect of a term in another. goHeather covers the clauses below when it drafts from your own templates.   • Renewal. Whether it is automatic, the notice window for stopping it, and which party the window favors.
  • Price uplift. Whether the agreement allows one, what caps it, and what notice is required.
  • User and usage growth. What happens to rates when volumes change mid-term.
  • Termination. Which party can terminate, on what grounds, and what happens to fees already paid.
  • Order of precedence. Which document wins when the MSA, the order form and an addendum conflict.

IP, license scope and service levels

  • License scope. In a subscription or software license agreement, who may use the platform, in what territory, and whether affiliates are included.
  • IP ownership. How the agreement allocates rights in configuration, integrations, feedback and output.
  • Service levels. The uptime commitment, how credits are calculated, and whether they are capped or expressed as a sole remedy.
  • Support obligations. Response times, and whether they are contractual or referenced from a policy that can change.
