The first pass

Clients want fixed fees. The first pass still takes hours.

A small commercial practice reviews the same supplier agreements, NDAs and order forms again and again, often for a fixed fee. The mark-up is the same work every time, and it is the part clients are least willing to pay for.

Without goHeather

  • An associate spends the morning on a first-pass mark-up
  • Each client’s positions live in a partner’s head or an old email
  • New drafts start from the last deal, with names changed by hand
  • The second round means reading the whole agreement again
  • Fixed-fee matters run over, and the time is written off

With goHeather

  • A ranked first-pass review in minutes, every clause quoted
  • Each client’s positions saved as a playbook and applied every time
  • First drafts from your firm’s own precedents
  • Later rounds review only the counterparty’s changes
  • Tracked changes in Word, with a comment explaining each one
Client playbooks

One playbook for every client

Write down how each client negotiates: the cap they accept, the indemnities they give, the governing law they want. Or upload their past agreements and let goHeather draft the playbook for you. Every contract you review for that client is checked against it.

  • Build a playbook from a client’s past agreements
  • Keep it private, or share it across the firm
  • Add a rule straight from a finding during a review

Review and redline

A first-pass mark-up your associates can finish

Upload the counterparty’s agreement as PDF or Word. goHeather ranks what it finds, quotes each clause and suggests the wording, with a short comment explaining every change. The associate checks it, adjusts it and sends it on.

Drafting

First drafts from your precedents

Start from your firm’s own precedent, a past agreement or a blank page. Answer a few questions about the deal, approve the outline, and get a complete first draft to review. Then export a legal summary or a deal abstract for the client.

  • Your firm’s precedents, or start from scratch
  • An outline to approve before the full draft
  • Legal summary and deal abstract exports in Word

How firms use it

How small and mid-sized commercial law firms use goHeather

Where the time goes back, and what stays with the lawyer

Large firms have bought legal AI built for them. Small and mid-sized commercial practices have the same work, the same clients asking for fixed fees, and fewer associates to absorb it. goHeather gives a firm of two lawyers or fifty the first pass on every agreement: drafting, review and the redline, done in minutes and checked by a lawyer before anything goes out.

The first pass on fixed-fee work

Much of a commercial practice is reviewing the counterparty’s paper: supplier agreements, SaaS terms, distribution agreements, NDAs. The issues are usually the same ones, such as the liability cap, the indemnities, renewal and termination, data protection and governing law. goHeather reads the whole agreement, ranks what it finds and quotes each clause, so the lawyer starts from a mark-up rather than a blank page.

A playbook for each client

Every client negotiates differently. A playbook records how one client wants each issue handled, in plain English, and goHeather checks every agreement for that client against it, with a compliant or non-compliant verdict on each rule and the clause quoted beside it. A playbook can be generated from the client’s past agreements, kept private or shared across the firm, and extended with a rule from any finding.

Later rounds and version comparison

When the other side sends back its mark-up, a redline review looks only at the tracked changes between the two versions, against the same playbook. You can also compare any two versions to see exactly what moved. Changes go back in Word with tracked changes, and each one can carry a short comment explaining why it was made.

Supervision and professional responsibility

goHeather is a tool for lawyers, not a substitute for one. The American Bar Association’s Formal Opinion 512 on generative AI asks lawyers to understand the tools they use, protect client confidences, supervise the output and bill fairly for the time they actually spend. goHeather is built for that kind of review: every finding quotes the clause it comes from, every change is a tracked change a lawyer accepts or rejects, and nothing reaches the client until someone at the firm has checked it.

What it costs a firm

Starter is $400 a month for one seat. Team plans add seats, shared playbooks and single sign-on, and every plan starts with a 7-day free trial. See the pricing page, read how the AI contract review works, or book a demo and bring a client agreement along. In-house teams can also see our page for in-house counsel.
