A single healthcare vendor relationship can involve a master agreement, an order form, a BAA and a security questionnaire, and a clinical study adds a budget, a protocol and often a separate CRO agreement. goHeather covers the clauses below when it drafts from your own templates.   • Budget and payment. Per-subject payments, start-up fees, holdbacks, and how soon invoices are paid.
  • Publication rights. How long the sponsor may review a manuscript, and whether it can ask for changes or only a delay.
  • Subject injury. Which costs the sponsor covers, and the conditions attached.
  • IP and data ownership. Who owns study data and inventions, and what the site keeps for its own records and research.
  • Indemnity. How widely each party's indemnity is drafted, and how it interacts with the protocol.

Supply, GPO and network agreements

  • Pricing and rebates. Price tiers, rebate calculations and what happens when volumes fall short of a commitment.
  • Recalls and product warranties. Who bears recall costs, and what the supplier warrants about the devices it ships.
