An HR team works with two kinds of contract. Some go out on your own paper: offer letters, employment agreements, contractor agreements and separation agreements. Others arrive on a vendor’s paper, from staffing agencies, PEOs and benefits providers. goHeather covers the clauses below in both cases, when it drafts from your templates and when it reviews a document you were sent. Each clause is quoted with a plain-English summary of what it says. Whether any of it suits your company is a question for you and your employment counsel.

Offer letters and employment agreements

These go out often, and the wording should match from one hire to the next. goHeather drafts them from your approved template and shows you what each clause says.

  • Position and pay. The title, reporting line, work location, base salary, bonus terms and pay schedule the document states.
  • Start date and conditions. Any conditions the offer lists, such as a background check, and the date the offer expires.
  • Confidentiality and IP assignment. How confidential information is defined, what the employee assigns, and whether any prior inventions are listed as excluded.
  • Non-solicitation. Who the clause covers, how long it runs after departure, and how it is worded.
  • Termination. What the agreement says about notice and about any payment on exit.

Independent contractor agreements

Contractor agreements come in both directions: your template, or the contractor’s own terms. goHeather reads the terms that set out the working relationship.
