Finance is often the last stop before a contract is signed, and the one that has to live with the payment terms afterward. goHeather covers the clauses below in both directions: when it drafts an agreement from your templates, and when it reviews one the other side sent. In a review, each clause is quoted from your contract with a plain-English summary of what it says. The decision on any of them stays with you and your lawyer.

Vendor and SaaS agreements

Subscription agreements and order forms are short on the surface and often point to online terms that carry the money clauses. goHeather reads what you upload and lays out how each one is drafted.

  • Fees and billing. What is charged, how often it is invoiced, and whether usage above a set level is billed separately.
  • Price increases. Whether fees can change at renewal or mid-term, whether a cap or index is named, and how much notice the vendor has to give.
  • Auto-renewal. Whether the agreement renews on its own, for how long, and the notice window for stopping it.
  • Minimum commitments. What the agreement says about committed spend, true-ups and unused amounts.
  • Termination costs. Who can end the agreement early, on what notice, and what the agreement says is owed if they do.
  • Liability cap. What the cap is tied to, and which obligations sit outside it.

Customer agreements

  • Indemnities. Which side gives them, what they cover, and whether they sit inside or outside the liability cap.

Commercial leases

A lease is often the largest fixed commitment on the books. goHeather pulls out the terms that drive the numbers.
